Terms of Service （服务条款）

These Terms govern your use of Simplify-AutoReply provided by SIMPLIFY LAB SOLUTIONS (“we”, “us”, “our”). By creating an account or using the Services, you agree to these Terms.
1) Service （服务范围）
Simplify-AutoReply provides WhatsApp automation (auto-replies, templates, routing, webhooks), inbox/status tracking, and optional integrations (e.g., Google Calendar). Features may evolve.
Platform constraints. You acknowledge WhatsApp’s session window (24-hour rule), template approvals, quality ratings, limits and number eligibility are determined by platforms/telecoms, not solely by us.
2) Eligibility & Account （资格与账号）
- You are a business user with authority to bind your entity.
- You will provide accurate information and keep credentials secure.
- You authorize us to call APIs (e.g., WhatsApp/Meta/Google) on your behalf where necessary.
3) Customer Responsibilities （客户义务）
- Obtain valid user opt-ins; comply with WhatsApp Business Policy and applicable laws (anti-spam, data protection, marketing).
- Ensure message templates and variable content are lawful and accurate; you own and control the content you send.
- Manage your workspace roles, webhooks, credentials and security settings.
- Handle end-user requests (access/erasure) as data controller; we act as processor unless otherwise agreed.
4) Numbers & Providers （号码与供应商）
- You may bring your own number or rent via partners (e.g., telcos or messaging providers). Provisioning/KYC and monthly fees are your responsibility.
- Porting/migration depends on platform/provider rules and may cause downtime. We are not responsible for third-party rejections or delays.
5) Fees & Billing （费用与结算）
- You agree to pay subscription fees, conversation/message fees (e.g., WhatsApp), number rentals and any add-ons.
- Invoices are due per stated terms. Late or failed payments may result in suspension.
- Third-party costs already incurred remain payable even if you pause the service.
6) Data & Privacy （数据与隐私）
- Our Privacy Policy is part of these Terms.
- We typically act as a data processor; you are the data controller responsible for lawful basis and disclosures.
- We process data according to your configuration and documented instructions. A separate DPA may apply if required.
7) Acceptable Use （可接受使用）
- No unlawful, infringing, deceptive, harassing, or harmful content.
- No spam or sending without appropriate consent; no circumvention of platform limits.
- No security violations, scraping, reverse engineering or load attacks.
We may suspend or terminate for violations without liability.
8) Uptime & Support （可用性与支持）
We provide commercially reasonable efforts for availability and technical support. Outages caused by third parties or force majeure are excluded from service commitments.
9) IP & Feedback （知识产权与反馈）
- You retain ownership of your content and marks.
- We retain all rights to Simplify-AutoReply and its improvements.
- You grant us a royalty-free license to use anonymized/aggregated analytics for improving the service.
10) Warranties & Disclaimers （保证与免责声明）
The Services are provided “as is” and “as available” without warranties of any kind. We do not guarantee conversions, platform approvals, number quality, limits, or uninterrupted access.
11) Limitation of Liability （责任限制）
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential or punitive damages. Our aggregate liability shall not exceed the total fees you paid to us in the 12 months preceding the claim, except for liabilities that cannot be limited by law.
12) Indemnity （赔偿）
You will indemnify and hold us harmless from claims arising out of your violation of these Terms, platform policies, or applicable laws, including reasonable attorneys’ fees.
13) Term & Termination （期限与终止）
- Either party may terminate as permitted by contract. We may suspend/terminate immediately for violations or risks.
- Upon termination, we will delete or return data per our Privacy Policy and any DPA, except where retention is legally required. Fees already incurred are non-refundable.
14) Governing Law & Dispute （法律适用与争议）
These Terms are governed by the laws of Malaysia without regard to conflicts of laws. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Malaysia (Kuala Lumpur).
15) Changes （变更）
We may update these Terms; continued use constitutes acceptance of the latest version. Material updates will be announced in-app or by email.
